Terms of Business

Terms of Service

Acceptance, quotations, handling, payment and the limits of liability.

Acceptance

Submission of a request through cmmcalibrationstlouis.com, the quotation that follows it, and the CMM Calibration and Repair and related work performed through this site are all governed by these terms. Submitting a request or accepting the resulting quotation counts as acceptance of them. A signed supply agreement or agreed purchase-order terms already on file take precedence over these terms, to the extent of any conflict.

How a Request Is Reviewed

Before any quotation goes out, the request is reviewed: for a clearly stated and understood requirement, for the method, range and measurement capability the work needs, and for whether the laboratory selected to carry it out is competent to perform it.

A required statement of conformity brings a decision rule and a specification, both agreed in writing before work begins. If the requirement changes after acceptance, the review runs again and the change is confirmed to the customer before work continues. A request that cannot be met as specified is either declined or returned with an alternative scope, rather than quietly reduced and accepted.

Externally Provided Services

The technical work itself is externally provided, and the arrangement is set out here and not left to be inferred. St. Louis CMM Calibration and Repair operates cmmcalibrationstlouis.com as a marketing and referral website; it is not itself a calibration laboratory and does not perform the measurements it describes. Requests are passed to external laboratories holding their own accreditation, operating their own quality management systems, and issuing their own certificates and reports.

Selection of an external provider is against stated criteria — current accreditation and the scope of it, demonstrated capability for the specific measurement requested, traceability arrangements, and record of on-time delivery. Ongoing monitoring follows, and a provider that ceases to meet the criteria is not used. Where a customer specifies that work must not be subcontracted, the instruction is honored or the request is declined.

Payment reaches the operator of this website in connection with that introduction, in the form of a referral fee, a fixed fee for the use of this website, or a commission on work that is placed. Stating it plainly keeps the commercial relationship behind the site from being left implicit. The price quoted is not affected, and the payment gives the operator no role in performing, approving or certifying any measurement.

Quotation and Revision

Every quotation goes out in writing. Validity is thirty (30) days from the date of issue, unless the quotation names a different period. The figures in it come from the item description, quantity, measurement points, tolerances and turnaround supplied with the request.

Where the item received is not the item described — extra channels, a wider range, damage, or a condition needing repair before measurement is possible — work is held while a revised quotation is issued. Nothing proceeds until that revision has been approved in writing.

Delivery Commitments

Measured in business days, turnaround begins at receipt of the item or receipt of written approval to proceed, whichever happens later. Expedited handling, where capacity allows, is quoted separately from the rest of the work. Capacity governs every commitment, given in good faith, and a commitment that slips is notified as soon as the delay is known, with a revised date attached.

Handling and Risk

Protective packaging adequate for transit is required, as are any accessories, fixtures, cables or software needed to complete the work. Risk in transit, in both directions, rests with the customer — unless carriage has been arranged and charged on the quotation.

Any item found to be unsafe, contaminated, or outside the condition accepted at review is returned unworked with the reason stated. After the collection or despatch period agreed on the quotation, completed items are held at the customer's risk.

Payment

Without a credit account approved in advance, certificates and items are released only against payment in full; with one, invoices fall due net thirty (30) days from the date of invoice.

Unless the quotation says otherwise, taxes, duties and carriage sit outside the quoted price. Interest at the lower of one and one-half percent (1.5%) per month or the maximum permitted by law may accrue on a balance left overdue, and further work may be suspended for as long as that balance stays unpaid.

Certificates and Reports

The performing laboratory issues the certificate or report, and it remains that laboratory's technical record. Payment in full carries with it an unrestricted right for the customer to keep, copy and use the certificate for its own quality, audit and regulatory purposes.

Certificates are complete documents and may be reproduced only in full; partial reproduction requires written approval. Copies are retained for the period stated in its records policy and can reissue against the original certificate number.

Confidentiality

Everything obtained or created by a request — drawings, specifications, tolerances, measurement results, and even the existence of the engagement itself — stays confidential, available only to those who need it to complete the work, to a party the law requires disclosure to, or to an accreditation body exercising its rights of access.

Notification follows any disclosure the law compelled, reaching the customer unless giving that notification is itself prohibited.

Limitation of Liability

With reasonable skill and care, work is carried out in accordance with the methods and standards stated on the quotation and on the resulting certificate. A customer facing defective work elects between re-performance of the affected work and a refund of the amount paid for it.

Total liability, to the maximum extent permitted by law, is capped at the amount paid for the work giving rise to the claim. Loss of profit, loss of production, loss of contract, and any indirect or consequential loss are all outside that liability. Liability that cannot be limited by law stays exactly that — unlimited, regardless of anything stated here.

Governing Law, Forum and Revisions

The laws of Missouri apply to these terms, without regard to conflict-of-law principles, and a claim is brought in the courts of that jurisdiction unless a different forum has been agreed in writing.

Amendment is possible, and the version published at cmmcalibrationstlouis.com on the date a quotation is issued is the version that applies to that engagement. The privacy notice and data handling, the important disclaimer and the raising a concern or complaint set out the related terms.
